Electronic Agreement

SERP CORPORATION, located at 5830 E 2nd St, Casper, Wyoming 82609 US, operates Elirans Sentinel through www.eliranssentinel.app, the related mobile website, and the mobile application (collectively, the “Websites”). By accessing the Websites or using the Service, you agree to be bound by this Terms of Service (the “Agreement”), whether or not you register as a member of SERP CORPORATION. If you object to anything in this Agreement or the Privacy Policy, do not use the Service.

This Agreement is subject to change by SERP CORPORATION at any time, effective upon posting on the relevant Website. Your continued use of the Websites and the Service after SERP CORPORATION posts revised terms will constitute your express acceptance and consent to the revised Agreement.

PLEASE READ THIS AGREEMENT CAREFULLY. It contains important information regarding your legal rights, liabilities, remedies, and obligations, including dispute resolution provisions.

This Agreement is an electronic contract that sets forth the legally binding terms of your use of the Websites and the Service. By accessing and/or using the Websites or becoming a Member, you accept this Agreement and agree to the terms, conditions, and notices contained herein.

Access and Retention

To access and retain this electronic Agreement you must have Internet access and any necessary equipment, such as a computer, modem, or other access device.

Print or save a copy of this Agreement if you wish to keep a record of it in another format.

Commercial Use of Service

If you are using the Service and/or accessing the Websites on behalf of a company, entity, or organization (a “Subscribing Entity”), you represent and warrant that:

• You are an authorized representative of the Subscribing Entity and have the authority to bind it to this Terms of Service.
• You have read and understand this Terms of Service.
• You agree to this Terms of Service on behalf of the Subscribing Entity.

Account Security

You are responsible for maintaining the confidentiality of your username and password that you designate during registration and for all activity under your account.

Immediately notify SERP CORPORATION of any unauthorized use of your account, and exit from your account at the end of each session. SERP CORPORATION will not be liable for losses arising from your failure to comply.

Use caution when accessing your account from a shared computer, and consider disabling auto-login to protect your credentials.

Your Use of the Websites

Use of SERP CORPORATION and Elirans Sentinel is a privilege that may be revoked at any time in SERP CORPORATION's sole discretion.

Illegal or unauthorized uses of the Websites include, but are not limited to:

• Browsing or downloading illegal content.
• Collecting usernames or email addresses to send unsolicited email.
• Unauthorized framing or linking to the Websites.
• Sharing or disclosing usernames or passwords to third parties.
• Impersonating another user or person.
• Using the Websites fraudulently or misleadingly.
• Automated use such as scraping, spiders, bots, robots, or crawlers.
• Interfering with, disrupting, or creating undue burden on the Websites or associated networks.
• Using the Websites inconsistently with applicable laws or regulations.

Further Restrictions on Content Use

Unless you are the creator of the content (“Your Content”) or have permission, you may not copy, capture, republish, adapt, make available, display, perform, transfer, share, distribute, or otherwise exploit any content from the Websites.

You must not use bots, scripts, apps, extensions, or any automated means to register accounts, log in, post comments, or act on your behalf.

You must not offer or promote such automation techniques to other users.

You may not alter or remove proprietary notices, reverse engineer the Websites, or circumvent copy protection mechanisms.

You must not upload or distribute offensive, abusive, defamatory, obscene, racist, sexually explicit, or illegal content.

You must not rent, sell, lease, or transfer access to the Websites without prior written authorization.

Do not stalk, threaten, harass, impersonate, or misrepresent affiliation with any person or entity.

Do not collect personal data or sensitive information about other users through spidering or scraping.

Do not violate data security measures, test vulnerabilities without authorization, interfere with the service, or attempt to hack SERP CORPORATION's systems.

Representations and Warranties

You represent and warrant that:

• Your Content is original or you have obtained all rights, licenses, consents, and permissions necessary to grant SERP CORPORATION the rights described in this Agreement.
• Your Content does not infringe or violate the rights of third parties, including intellectual property and privacy rights.
• You have obtained all consents from persons appearing in Your Content to publish their likeness on the Websites.
• Your Content is lawful, non-offensive, and does not promote violence, terrorism, or hatred.
• Your Content does not create liability for SERP CORPORATION, its affiliates, or employees.

Term

This Agreement remains in full force while you use the Websites or Service. You may terminate your membership at any time by contacting support.

SERP CORPORATION may terminate or suspend your membership for any reason by sending notice to your registered email address. Termination for breach may forfeit any refund of unused fees.

SERP CORPORATION is not required to provide notice or disclose a reason for termination. Some terms survive expiration or termination.

Modifications to Service

SERP CORPORATION may modify or discontinue the Service temporarily or permanently, with or without notice. SERP CORPORATION will not be liable for any modification, suspension, or discontinuance.

Blocking of IP Addresses

To protect the integrity of the Service, SERP CORPORATION reserves the right to block Members from certain IP addresses or ranges at any time and in its sole discretion.

Content

SERP CORPORATION retains all proprietary rights in the Websites and the Service, including copyrighted material, trademarks, and other proprietary information.

Restrictions on Use of Materials

You acknowledge that intellectual property on the Websites is protected by copyrights, patents, trademarks, and trade secrets, and all rights are reserved.

You may not modify, publish, transmit, distribute, or create derivative works of SERP CORPORATION's intellectual property without prior written consent.

Copyright Policy

SERP CORPORATION prohibits posting infringing materials and may investigate violations under the Digital Millennium Copyright Act (DMCA).

If you believe your copyright has been infringed, send a written notice to support as specified below:

1. Identification of the copyrighted work or intellectual property claimed to be infringed.
2. Identification of the allegedly infringing material that you request to be removed.
3. Your name, address, daytime telephone number, and email address if available.
4. A statement of good faith belief the use is unauthorized.
5. A statement that the information is accurate and you are authorized to act on behalf of the owner.
6. The signature of the intellectual property owner or an authorized representative.

Liability for Content

You acknowledge that SERP CORPORATION stores Content at users' direction, acts as a passive conduit, and does not monitor it.

You are solely responsible for Your Content, and SERP CORPORATION excludes liability to the fullest extent permitted by law.

SERP CORPORATION disclaims liability for any Content uploaded by users, including infringement, defamatory, obscene, or offensive material.

By using the Websites, you waive all claims related to user-generated content.

Repeat Infringers

SERP CORPORATION may suspend or terminate access if you repeatedly breach these Terms. Receiving two warnings may lead to termination.

Accounts may also be suspended without warning if ordered by a court or for other appropriate reasons. No refunds are provided for terminations due to repeated infringement.

Limitation of Liability

In no event shall SERP CORPORATION be liable for any damages arising out of or relating to the Websites or Service. The content is provided “as is” without warranties.

SERP CORPORATION makes no warranties regarding ownership, accuracy, completeness, or uninterrupted operation.

Under no circumstances shall SERP CORPORATION, its officers, or employees be liable for direct, indirect, incidental, punitive, special, consequential, or exemplary damages, including lost profits or data, even if notified of possibility.

If limitations are unenforceable, your sole remedy is limited to the greater of $100 or the amount paid in the six months prior to notice of dispute.

Indemnity by You

You agree to indemnify SERP CORPORATION, its affiliates, and personnel from any loss, liability, claim, or demand, including reasonable attorneys' fees, arising from:

1. Use of the Service in violation of this Agreement, including misrepresentations and warranties.
2. Third-party claims of infringement or privacy violations related to your Content.
3. Activity related to your account, whether by you or others accessing it with or without your consent, unless caused by SERP CORPORATION.

Attorney Fees

If SERP CORPORATION prevails in any action related to this Agreement, you shall be responsible for its attorneys' fees and costs.

Parental or Guardian Permission

Some content may not be appropriate for children. Children under 17 are not permitted to use the Websites without a supervising parent or guardian present.

Privacy

Use of the Websites and the Service is governed by the Privacy Policy located at www.eliranssentinel.app/privacy.

Jurisdiction and Choice of Law; Dispute Resolution

Any dispute shall be governed by the laws of the State of Wyoming without regard to conflicts of law.

You agree to the exclusive jurisdiction and venue of the state and federal courts of the State of New York for resolving disputes. Acceptance of this Agreement constitutes consent to be sued in New York.

You agree to accept service by certified mail, return receipt requested, which shall have the same force as personal service.

Arbitration Provision / No Class Action

Except where prohibited by law, any dispute arising from the Websites or Service shall be resolved individually by binding arbitration under the American Arbitration Association's Commercial Arbitration Rules for Expedited Procedures or another mutually agreed organization.

A single arbitrator with copyright law expertise shall resolve disputes. Costs are split between parties, and the award may be entered in Wyoming courts.

Post-arbitration enforcement or equitable relief actions must be brought in Wyoming courts, County of Wyoming.

No Third Party Beneficiaries

There are no third party beneficiaries to this Agreement unless expressly provided.

Availability Outside the U.S.

If you access the Service from outside the U.S., you do so at your own risk and must comply with local laws.

By using the Service, you consent to processing and storage of your personal information in the United States and other jurisdictions selected at our discretion.

Entire Agreement

This Agreement contains the entire agreement between you and SERP CORPORATION regarding the Websites and Service.

Severability; Waiver

If any provision is found invalid, the remaining provisions remain enforceable.

No waiver of any term shall be deemed a continuing waiver, and failure to enforce a term does not affect SERP CORPORATION's right to enforce it later.
